FileCheetah™ Terms of Use
  Hakuhodo Inc. ("Company") and the delegated operator set down the terms of use of FileCheetah™ ("Terms") as follows.
  1. User scope
  Registration as a user ("Registered User") of FileCheetah™ ("Service") is restricted to HEN terminal users (holders of certain email addresses such as hakuhodo.co.jp) of the three companies Hakuhodo DY Holdings Inc., Hakuhodo Inc. and Hakuhodo DY Media Partners Inc., and their affiliates. Eligibility to be a Recipient (hereinafter defined) of the Service is not limited to those who are Registered Users.
  2. User territory
  Japanese language and English language versions of the Service have been prepared. When the Service is used in a country other than Japan, the user agrees to abide by any and all local restrictions and/or laws and regulations including, but not limited to those pertaining to the export of technologies.
  3. Definition of Service
  Registered Users are able to send and receive electronic files via the Service server. The Service is primarily comprised of the following functions.
 
(1)  Function that allows Registered Users to up-load electronic files to the Service server.
 
(2)  Function that sends notification by email to the party specified by a Registered User to receive the electronic file ("Recipient").
 
(3)  Function that enables Recipients to download the electronic files concerned.
 
(4)  Function that prevents the use of functions (1) through (3) above by third parties not intended by the Registered User or Recipient.
 
(5)  Function that allows Recipients other than Registered Users to up-load electronic files a restricted number of times.
 
(6)  Function that enables Recipients other than Registered Users to request an URL to which they can up-load electronic files.
 
(7)  Function that enables Registered Users to confirm whether Recipients have down-loaded the electronic files concerned.
  4. User system requirements
  The following are the minimum system requirements for the Service
 
(1)  The Registered User and Recipient must be able to access the Internet.
 
(2)  Ability to use Japanese or English.
 
(3)  Use of OS Windows Vista/7/8/10 or Mac OS X or higher.
 
(4)  Use of the following compatible browsers.
  - Windows
• Compatible browsers: Internet Explorer 9.0 or higher / Firefox (latest version) / Google Chrome (latest version)
  - Mac OS X
• Compatible browsers: Safari (latest version) / Firefox (latest version) / Google Chrome (latest version)
 
(5)  Cookies and JavaScript must be enabled.
  Registered Users and Recipients must provide at their own expense the equipment, software and system requirements that they will need to access the Service. Moreover, Registered Users and Recipients may not access the Service by means other than the interface provided by the Company.
  5. User obligations
  Users may not engage in any of the following when using the Service:
 
(1)  Transmission or writing of harmful computer programs, etc.
 
(2)  Unauthorized use of another Registered User or Recipient's password
 
(3)  Acts that violate the intellectual property rights of another Registered User, Recipient or third party
 
(4)  Acts that slander or libel another Registered user, Recipient or third party
 
(5)  Acts that put another Registered User, Recipient or third party at a disadvantage
 
(6)  Acts that offend public order or morality
 
(7)  Acts that violate the law, or which may violate the law
 
(8)  Acts of concealing or falsifying the origins of electronic files transmitted through the Service
 
(9)  Acts that obstruct and/or disrupt the Service or the equipment and/or network used to provide the Service
 
(10)  Logging into the Service using an email address that may not be able to be identified as an individual, such as a mailing list, etc., or specifying a mailing list or similar email address as a Recipient of a file transmission
  Registered Users and Recipients assume sole responsibility for electronic files sent and received from other Registered Users and Recipients through this Service. Registered Users and Recipients must judge the reliability, accuracy, completeness, utility, etc. of files sent and received through this Service themselves and use them at their own risk and responsibility.
  6. Provision and management of login passwords
  The Company provides Registered Users with login passwords for use with the Service. Management and use of login passwords is the responsibility of the Registered User, and the Company accepts no responsibility for any erroneous use or unauthorized use thereof.
Registered accounts will be automatically terminated after a year of inactivity.
  7. Transfer of rights
  Registered Users may not transfer their right to receive the Service.
  8. Interruption of the Service
  The Company may temporarily interrupt the provision of the Service from time to time for the following reasons:
 
(1)  When it is unavoidable in order to maintain or construct the system used to provide the Service
 
(2)  When communication lines used to provide the Service cannot be used
 
(3)  When the continued provision of the Service becomes impossible due to natural disaster or other cause beyond the company's control
 
(4)  At other times when the Company determines it necessary to shut down the system used to provide the Service in order to maintain it
  Advance notification of the interruption to the provision of the Service for reasons outlined above will be given on the Service website. However, this provision will not apply to emergencies or unavoidable circumstances.
  9. Handling of electronic files
  The Company assumes no responsibility for the condition of the electronic files sent and received through the Service. In addition, the Company will not disclose or inspect any electronic file sent or received by users for any reason, except those indicated in 12 and 13 hereinunder.
Electronic files cannot be retrieved after the specified holding period.
Registered Users and Recipients recognize that electronic files sent and received through the Service may pass through numerous networks and/or devices unknown to the Company. They use the Service accordingly, understanding that such networks and devices may cause unexpected damage to the sent emails and/or files, and contain the risk of wire-tapping and unintentional or unauthorized use by third parties.
  10. Handling of email
  The Company assumes no responsibility for the condition of the email messages transmitted through the Service. In addition, the Company will not disclose or inspect any email message for any reason, except those indicated in 12 and 13 hereinunder.
The Company cannot resend email messages sent through the Service. Users recognize that email messages sent through the Service may pass through numerous networks and devices unknown to the Company. They use the Service accordingly, understanding that such networks and devices may cause unexpected damage to the sent emails and/or files, and contain the risk of wire-tapping and unintentional or unauthorized use by third parties.
 
  11. Confidentiality
  Information about Registered Users of the Service, and any other information about Registered Users and Recipients that the Company may come to acquire will be handled in line with the privacy policies of the Company and the delegated operator. The Company and delegated operator shall not disclose any information (including but not limited to sender name, recipient name, email address, company name, email title) except in the following instances:
 
(1)  When the Registered User or Recipient agrees to the disclosure
 
(2)  When the disclosure is requested in accordance with the law
 
(3)  When the disclosure is necessary to ensure the property, rights, life, business, etc. of the Company, Registered Users, Recipients or third parties, or for the common good
 
  12. Disclosure and inspection of electronic files and email
  The Company will not disclose or inspect electronic files and email messages, except in the following instances:
 
(1)  When the Registered User or Recipient agrees to the disclosure or inspection
 
(2)  When the disclosure is requested in accordance with the law
 
(3)  When the disclosure is necessary to ensure the property, rights, life, business, etc. of the Company, Registered Users, Recipients or third parties, or for the common good
 
  13. Monitoring of usage
  The Company monitors user usage in order to operate the Service appropriately. In addition, the Company may inspect electronic files, email messages, access logs, system logs and applications when it is feared that a Registered User or Recipient is in violation of these Terms, when the rights of a Registered User, Recipient or third party may have been violated, or when the Company otherwise deems such action is necessary in order to ensure the proper operation of the Service.
 
  14. Deletion of electronic files
  The Company may delete electronic files from the server used to provide the Service when a Registered User or Recipient has breached these Terms, in order to protect the rights and interests of the Company, Registered Users, Recipients or third parties, or when the Company otherwise deems such action is necessary in order to ensure the proper operation of the Service.
 
  15. Deletion of user information
  The Company may delete Registered User or Recipient information without giving the Registered User or Recipient concerned prior notification in such case as the Registered User or Recipient has violated these Terms or when the Company deems the Registered User or Recipient unsuitable to use the Service. The Company assumes no responsibility toward the Registered User or Recipient, even if the Registered User or Recipient can no longer use the Service due to the Company's deletion of the Registered User or Recipient's information.
 
  16. Cookies
  Some pages of the Service use technology known as "cookies." Cookies may be used to display a Registered User or Recipient's email address on the webpage, and to measure, record and analyze usage and access. When cookies are used, the Company will not use the cookies for purposes other than the measuring, recording and analysis outlined above. About cookies: Cookies are a technology widely used to allow servers to identify customer computers. Cookies record the accessing customer's IP address and access date and time.
 
  17. Contacting the Registered User or Recipient
  When Registered Users or Recipients wish to contact the Company concerning the Service, they shall contact Hakuhodo DY Holdings Group Information System, the operation contact. However, depending on the content of the response, either the Company or the delegated operator may respond directly to the Registered User or Recipient.
 
  18. Disclaimer of warranties
  The Company makes no warranties concerning the content of the Service, its provision, accessibility, and use. The Company also makes no warranties concerning the truth, competence or correctness of information or advice the user may obtain directly from the Company or through the Service in the form of responses to inquiries, etc., as these are based on limited information provided by the Registered User or Recipient.
 
  19. Limit of liability (immunity)
  The Company accepts no responsibility for any loss or damage caused by the use or inability to use the Service.
 
  20. Intellectual property rights
  Registered Users and Recipients agree not to violate the copyright, trademark rights and other intellectual property rights of any piece of text, graphic, design, trademark, logo or similar that appears on the Service or the website provided by the Service.
 
  21. Changes to the Terms of Use
  The Company may alter the Terms without prior notification. After altering the Terms, the altered terms will become effective immediately upon being displayed on the webpage provided by the Service.
 
  22. Governing law
  The laws of Japan will govern the Terms. Moreover, the Tokyo District Court will be the court of first instance for any dispute that arises between the Company and the Registered User or Recipient in relation to the Service or the Terms.
 
  23. Mutual consultation
  Any matter not provided for in the Terms will be resolved through mutual discussion, in the principles of good faith.
